Terms of Service

Welcome to SignalCore. These Terms of Service (the "Terms") govern access to and use of the SignalCore platform (the "Service"), operated by Signalcore LLC, a company registered in Sharjah Media City Free Zone (Shams), United Arab Emirates ("SignalCore" or "we"). By accessing or using the Service, you accept these Terms. If you do not agree with them, do not use the Service.

Acceptance of the Terms

By creating an account, you agree to be bound by these Terms and by our Privacy Policy. You represent that you have the authority required to bind your company under these Terms. The Refund Policy set out in Section 9 forms an integral part of these Terms.

B2B Nature of the Service

SignalCore is a service intended exclusively for companies, professionals and self-employed workers acting within the scope of their economic, commercial or professional activity. The Service is not aimed at consumers within the meaning of any applicable consumer protection legislation, including, among others, the UAE Federal Law No. 15/2020 on Consumer Protection, Directive 2011/83/EU, the UK Consumer Rights Act 2015 and the California Consumer Privacy Act (CCPA/CPRA).

By registering, you represent and warrant that:

  • You are contracting on behalf of a company or entity, or as a professional or self-employed worker in active practice.
  • You have the legal capacity required to bind that entity under these Terms.
  • You are not acting as an end consumer and, consequently, consumer protection rules do not apply to you, including any right of withdrawal or cooling-off period.

If, when registering, you provide business or professional details that subsequently prove to be false or inaccurate, SignalCore reserves the right to suspend the account with no right to any refund.

Description of the Service

SignalCore provides an AI-powered platform for lead management, communications automation and channel integration. Its features include AI agents, workflow automation, multichannel messaging (WhatsApp, Instagram, SMS, voice) and third-party integrations.

Your Account

You are responsible for maintaining the security of your account credentials and for all activity carried out through it. When registering, you must provide truthful information, including valid business or professional details (tax identification number or equivalent registration number, company name and billing address).

Acceptable Use

You undertake not to:

  • Use the Service for unlawful purposes or to breach applicable regulations.
  • Send spam or unsolicited messages, or engage in harassing conduct.
  • Attempt to circumvent security measures or access systems for which you have no authorization.
  • Use the Service to distribute malware or harmful content.
  • Breach the terms of any connected third-party service (e.g. Meta or Stripe).
  • Use the Service in breach of applicable export control, sanctions or anti-money laundering regulations (including the UAE, UN, EU, UK and US OFAC sanctions regimes).

We may suspend or terminate accounts that breach these rules.

Payments and Subscriptions

Paid plans and credits are billed in accordance with the prices shown at the time of purchase. Subscriptions renew automatically unless canceled. All amounts are stated exclusive of applicable taxes (including UAE VAT, where applicable), which will be added where required by law. Refunds are processed exclusively in accordance with the Refund Policy set out in Section 9.

Data Protection and International Compliance

SignalCore processes personal data in accordance with its Privacy Policy and with applicable data protection legislation, including the following:

  • The UAE Federal Decree-Law No. 45/2021 on the Protection of Personal Data (PDPL).
  • The EU General Data Protection Regulation (Regulation (EU) 2016/679, GDPR), where you or your end users are located in the European Economic Area.
  • The UK GDPR and the United Kingdom Data Protection Act 2018, where applicable.
  • The California Consumer Privacy Act (CCPA/CPRA) and other US state privacy laws, where applicable.
  • Any other data protection legislation applicable to your use of the Service.

Where you use the Service to process the personal data of third parties, you act as data controller and SignalCore as data processor. We make available to you, upon request, a Data Processing Agreement (DPA), which is mandatory for customers subject to the GDPR, the UK GDPR or equivalent regimes.

Limitation of Liability

The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, SignalCore shall not be liable for indirect, incidental, special, consequential or punitive damages arising from your use of the Service. Our total aggregate liability is limited to the amount you have paid us during the 12 months preceding the claim.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability arising from fraud, gross negligence or wilful misconduct.

Refund Policy

9.1 General Principle

SignalCore is a B2B digital service provided on demand. When you purchase any plan, add-on or credit, the Service is made available to you immediately and, consequently, all payments are final and non-refundable, except in the cases expressly set out below.

9.2 Monthly and Annual Subscriptions

Subscriptions are billed in advance and are not refundable, either in whole or in part, once the billing period has started. You may cancel the renewal at any time from Settings: cancellation stops future charges but does not give rise to any refund for the current period. You will retain access to the contracted features until the end of the period already paid for.

9.3 Credits and Usage Charges

Prepaid credits (messaging, AI usage, voice minutes, etc.) are non-refundable once purchased, whether or not they have been used. Credits do not expire while the subscription remains active, but they are lost upon cancelling the account or moving to a lower plan that does not support them. Credits have no cash value and cannot be transferred between accounts.

9.4 One-off Services and Add-ons

Setup fees, onboarding services, custom integration work and any other one-off charge are non-refundable from the moment their provision begins.

9.5 Third-Party Costs

Fees passed on by external providers (WhatsApp/Meta conversation charges, Stripe processing fees, SMS carrier rates, telephony costs, etc.) are non-refundable under any circumstances, as they accrue directly to the relevant provider.

9.6 Plan Changes and Downgrades

Plan upgrades are prorated and billed immediately. Plan downgrades take effect at the start of the next billing cycle and do not give rise to any refund of the amounts already paid for the current cycle.

9.7 Accounts Terminated or Suspended for Breach

No refund will be issued where the account is suspended or terminated for breach of these Terms, misuse of the Service, fraudulent activity or infringement of the terms of external providers (Meta, Stripe, telecommunications carriers, etc.).

9.8 Exceptional Refund Cases

We will only issue refunds in the following cases:

  • Duplicate charges or other billing errors attributable to SignalCore.
  • Unauthorized charges arising from a confirmed security incident in our systems.

9.9 How to Request a Refund in Eligible Cases

Send your request to info@signalcore.ai stating:

  • The account email address and the workspace name.
  • The invoice number or transaction identifier.
  • The reason for the request and supporting documentation, where applicable.

We will respond within 5 business days. Approved refunds will be credited to the original payment method within 5 to 10 business days of approval.

9.10 Chargebacks

We ask that you contact us before initiating a chargeback with your bank or card issuer. Chargebacks filed without prior contact may result in the immediate suspension of the account until they are resolved, as well as in the recovery of the associated administrative costs.

Termination

You may cancel your account at any time from Settings. We may suspend or terminate access for breach of these Terms or for operational reasons, with reasonable prior notice where possible. Termination does not give rise to any refund of the amounts already paid, except as expressly provided in the Refund Policy.

Amendment of the Terms

We may amend these Terms at any time. Material changes will be communicated by email or by notice in the dashboard. Continued use of the Service after the changes constitutes your acceptance of them. The version applicable to each purchase will be the one in force at the time the payment was made.

Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and any dispute arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the applicable regulations of the Emirate of Sharjah, including the regulations of Sharjah Media City Free Zone (Shams), without regard to their conflict of law rules.

12.2 Mandatory Local Rights (Non-waivable Protections)

Nothing in these Terms is intended to exclude or limit the rights granted to you by the mandatory rules of your country of establishment that cannot be excluded by contract. In the event of a conflict between such mandatory rights and these Terms, those rights shall prevail, but only to the minimum extent necessary to comply with those rules, with the remainder of these Terms continuing in full force and effect.

12.3 Dispute Resolution

Any dispute, controversy or claim arising out of or in connection with these Terms shall be resolved as follows:

  • Good faith negotiation. The parties shall first attempt to resolve the matter through good faith negotiation for a period of 30 days.
  • Arbitration. If the dispute is not resolved through negotiation, it shall be finally submitted to arbitration administered by the Dubai International Arbitration Centre (DIAC) under its Arbitration Rules in force at the time of the request for arbitration. The seat of the arbitration shall be Dubai (UAE) and the language of the proceedings shall be English. The tribunal shall consist of a sole arbitrator, unless the amount in dispute exceeds USD 500,000, in which case three arbitrators shall be appointed.
  • Interim relief. Notwithstanding the foregoing, either party may seek urgent interim or equitable relief before the competent courts of Sharjah to protect its intellectual property rights or its confidential information, or to prevent a material breach.

12.4 Export Control and Sanctions

You represent that you are not located in, nor a resident of, any country subject to comprehensive UAE, UN, EU, UK or US sanctions, and that you do not appear on any list of restricted or sanctioned parties. You undertake to comply with all applicable export control and sanctions regulations when using the Service.

General Provisions

  • Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.
  • No waiver. Failure to exercise any right provided for in these Terms shall not constitute a waiver of that right.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition or sale of assets.
  • Entire agreement. These Terms, together with the Privacy Policy and any order form or DPA, constitute the entire agreement between the parties in relation to the Service.
  • Language. These Terms have been drafted in English. Any translation is provided for information purposes only; in the event of any discrepancy, the English version shall prevail.
